Notice to call a Special General Meeting
TO BE HELD: Date: 24th April 2023. Time: 5PM. Place: Wrekin College Cricket Pavilion.
A Special General Meeting has been requested by the Committee at the above date, time and place (SGM).
WHEREAS the members have approved the moving of the status of the County Cricket Club from a Members’ Club to a Company status limited by guarantee and to be registered as a charity (Company).
The purpose of the meeting is to seek Member approval for the following:
To approve the draft Articles of Association for the Company.
To appoint initial directors of the Company.
To approve the proposed Company’s Registered Office Address as the address of the Company’s Solicitors at GHP Legal, 37-39 Willow Street, Oswestry, SY11 1AQ.
To authorise the opening of a new bank account in the name of the Company.
Any comments regarding the draft Articles of Association must be notified in writing or by email to the Club Secretary no less than 7 days prior to the date specified herein for the SGM.
Postal votes to 6 Peregrine Way, Apley, Wellington, TF1 6TH are acceptable by no later than 12pm on 24th April 2023. Open to all Members.
